How do I get a Memorandum and Articles of Association (M&AA) or the Company Constitution?

As a regulated business under the Monetary Authority of Singapore (MAS), all business users signing up for a CardUp account are required to submit the company's Memorandum and Articles of Association (M&AA) or Company Constitution as part of the Know Your Customer (KYC) due diligence process.

The M&AA was replaced by a single document called the Company Constitution when the Companies Act was amended in 2015. Consequently, there are two options for retrieving this document:

1. Obtaining the Document Directly from the Company:
During the incorporation process, the company should have received this document in either physical or digital (PDF) format. If you are a shareholder, director, or key stakeholder, you should possess a copy of the Company Constitution.

2. Acquiring the Document through BizFile+ (ACRA):
BizFile+ is the online portal of the Accounting and Corporate Regulatory Authority (ACRA), the governing body for companies in Singapore. You can purchase the Company Constitution through BizFile+.

How to obtain it?

      1. Go to the ACRA BizFile+ website.

      2. Search for the company.

      3. Look for the option to purchase documents. The Company Constitution should be listed as one of the available documents.

      4. You'll need to pay a fee to download the document

Note: You'll need to register for an account on BizFile+ if you don't already have one.
